Maryland Nonprofits Back Office Legal Services

Annual Compliance

Annual compliance with 990N

Includes:

  • File Form 990N
  • Maryland Annual Report
  • Maryland Charitable Solicitation Registration/Annual Update
  • Status check on SUTEC

Fee:  $500 for 1 year, $750 for 2 years

Annual compliance with 990EZ

Includes:

  • File Form 990EZ
  • Maryland Annual Report
  • Maryland Charitable Solicitation Registration/Annual Update
  • Status check on SUTEC

Fee:  $1500 (for one year, no 2 year discount)

Review of Articles of Incorporation

Following client interview, we provide the following legal services:

  • We will conduct a legal review of Articles of Incorporation and make any updates to bring current
    • One hour intake meeting with client
    • Discuss changes, which may include: statement of charitable and educational purposes, Verifying/updating principal office address and resident agent information, Review of membership structure (confirming alignment with program operation), Consider adding a non-discrimination/equity statement
    • File Articles of Amendment and Restatement online

Fee: $750

Bylaws Review

Comprehensive review of your bylaws followed by track changes recommendations reflecting best practices, as well as a proposed final version.

Fee: $1500 for members, sliding scale based on budget for nonmembers ($2000 if budget is below $100,000, $2500 if budget is between $100,000-$1M, $3000 if budget is $1M or above).

Corporate Name Change

Following client interview, we provide the following legal services:

  • File Articles of Amendment online with SDAT changing the name of the corporation
  • IRS notification of name change

Fee:  $500

Restoring Good Standing with State of Maryland (if charter has forfeited)

Following client interview, we provide the following legal services:

  • Filing the required number of missing Annual Reports
  • Filing Articles of Revival, if necessary

Fee: $500

990 Services (standalone)

File Form 990N for most recent year

Criteria for eligibility:

  • Gross receipts are $50K or less/year
  • Virtual postcard to be filed online with IRS
  • We will offer instruction on how to complete and file the 990N for future years

Fee: $500

File Form 990EZ for most recent year

Criteria for eligibility:

  • Gross receipts are over $50K and below $200K/year AND total assets valued at less than $500K
  • Mandatory online filing with IRS
  • Tax Software filing fee ($120)
  • If underlying bookkeeping is required to prepare for the filing, it will be provided on an hourly basis ($250/hour)
  • If extension is required, additional fee may apply ($120)

Fee:  $1250 plus filing fee of $120 = $1370

Can be paired with setting up QuickBooks for the First Time

  • Help nonprofit get nonprofit license (through TechSoup)
  • Set up chart of accounts
  • Configure
  • Train on how to use

Fee:  $1250 if a new organization

Corporate Dissolution

Following client interview, we provide the following legal services:

  • File Articles of Dissolution
  • File Charitable Solicitation Registration (CSR) intent to close

Fee:  $500

If client wishes us to file the final 990 and inform the IRS of dissolution, pricing is above for 990 filings.
